Identifying Yourself As an Affiliate.


Affiliate may not in any manner misrepresent or embellish the relationship between the Parties, or express or imply any relationship or affiliation between Novarch B.V Properties and Affiliate or any other person or entity except as expressly permitted by this Agreement (including by expressing or implying that we support, sponsor, endorse, or contribute money to any charity or other cause).


Background

Affiliates and Novarch B.V Properties each desire to establish the general terms and conditions that shall govern advertising and/or fee arrangements between an Affiliate and Novarch B.V Properties, which result from participation in Novarch B.V Properties Affiliate program.


By participating in the affiliate marketing program, you agree to be bound by this Agreement.


If you don’t agree to be bound by this Agreement, you may not participate in the Novarch B.V Properties affiliate marketing program.


If you are participating in the affiliate marketing program on behalf of a company or other legal entity (such as a trust or limited liability company of which you are a member), you represent and warrant that you have the authority to bind that entity to this Agreement.


In that case, “you” and “your” will refer to that legal entity.


1. Novarch's Responsibilities

1.1. Novarch agrees to track each visitor to the RentPrep site who first enters such site directly from Affiliate’s approved link and becomes a registered customer of Novarch services (each an “End User”).


1.2. Novarch will undertake commercially reasonable efforts to make the Novarch site available at all times. Novarch reserves the right, in its sole discretion, to interrupt access to any or all of the content pages of the Novarch site for maintenance and other purposes.


1.3. Novarch may periodically audit the Affiliate’s site to determine whether it is in compliance with Novarch then-current affiliate guidelines and requirements, including, without limitation, review of Affiliate’s approved link and quality controls.


2. Affiliate’s Responsibilities

2.1. Affiliate will hyperlink its approved link to the specific Novarch site landing page(s) designated by Novarch B.V Properties.


2.2. Affiliate will comply with Novarch B.V Properties affiliate marketing policies as procedures, as the same may be modified from time to time in Novarch sole and absolute discretion.


Limitation of Liability

Neither Party shall be liable to the other for any indirect, incidental, delayed, special, punitive, or consequential damages, including damages for lost opportunities, lost profits from this Agreement or any other transaction, or lost savings, whether arising in contract, tort, or otherwise, even if such damages were foreseeable or result from a breach of this Agreement. In addition, Novarch B.V Properties shall not be liable to Affiliate for an amount that exceeds the total compensation paid to Novarch B.V Properties during the three (3) months prior to the event giving rise to such liability.


General

Each party shall act as an independent contractor and shall have no authority to obligate or bind the other in any respect.


The provisions of this Agreement are independent of and separable from each other, and no provision shall be affected or rendered invalid or unenforceable by virtue of the fact that for any reason any other or others of them may be invalid or unenforceable in whole or in part.

Compensation Agreement

During the Term of the Agreement, Novarch will pay Affiliate an affiliate marketing program fee of two percent (2%) of End User transactions conducted through the Novarch site, less any refunds, chargebacks, fraud, or other disputed transactions, each to the extent determined in Novarch sole and exclusive discretion.


End Users can order an unlimited amount of reports in the same transaction, and the affiliate marketing fee will apply to all such additional reports.
